Terms of Service

These terms govern your use of ToolpathCloud, an instant-quoting platform for metal cutting shops operated by Rapid Manufacturing (ABN 81 994 894 143) of PO Box 209, Toronto NSW 2283, Australia (“ToolpathCloud”, “we”, “us”). By creating an account or placing an order through a shop’s quote page, you agree to them.

1. What ToolpathCloud is — and is not

ToolpathCloud is software. We give cutting shops a hosted quote page where their customers can upload a DXF file, receive a price calculated from the file’s geometry, and pay.

We do not cut, manufacture, inspect, pack, ship, or deliver anything. Every order is a contract between the customer and the shop that accepted it. The shop is the seller and merchant of record. We are not a party to that contract and do not act as agent for either side.

2. Accounts

Shop accounts are for business use and are currently available to businesses established in Australia. You must give accurate registration details, keep your credentials secure, and are responsible for everything done under your account. You must be authorised to act for the business you register.

We may suspend or close an account that breaches these terms, is used unlawfully, or creates risk for us, for customers, or for our payment providers.

3. Quoting and pricing

Prices shown to customers are generated automatically from the geometry of the uploaded file and from the material, pricing, speed and rate settings the shop configures. Shops are solely responsible for those settings and for the prices they produce. We do not review, approve or verify a shop’s pricing.

Prices are GST-inclusive. The rates a shop configures — price per kilogram, hourly rate, delivery fee and minimum order — are treated as including GST, and the total shown to a customer is the total payable, as the Australian Consumer Law single-price rule requires. Where a shop is registered for GST, the GST component is shown beneath the total; where a shop tells us it is not registered, no GST is charged or displayed.

Shops are responsible for their own GST registration status being accurately recorded, and for their own tax invoices and BAS reporting on the orders they take. ToolpathCloud reports the GST component of an order but does not issue tax invoices on a shop’s behalf.

Automated quoting has limits. Some file types and geometry cannot be analysed reliably; where that happens the platform routes the request for manual quoting instead of pricing it. A quote may be withdrawn or corrected before payment, and quotes expire.

Customers must ensure the files they upload are their own to use and do not infringe anyone’s rights, and must not request parts whose manufacture would be unlawful.

4. Payments and our fee

Payments are processed by Stripe. Shops must complete Stripe onboarding and are bound by Stripe’s connected account terms. Customer funds are paid to the shop’s own Stripe account — we never hold them.

We charge a platform fee of 1.5% of the order total, collected automatically on each paid order, and is inclusive of GST. There is no subscription or setup fee. We may change the fee on reasonable notice; changes do not apply to orders already placed. Card processing fees are charged by Stripe separately under the shop’s own Stripe agreement.

5. Refunds, disputes and chargebacks

Because the shop is the seller, refunds and order disputes are between the customer and the shop. See our Refund Policy for how this works in practice and what happens to our platform fee.

6. Your content

You keep all rights in the files and data you upload. You grant us a limited licence to store and process them only so far as needed to run the service — analysing geometry, generating quotes, and making files available to the shop you sent them to. We do not sell your files or use them to train models.

7. Acceptable use

  • Do not attempt to breach, probe, or overload the service.
  • Do not upload malware, or files you have no right to submit.
  • Do not scrape, resell or white-label the service without our written agreement.
  • Do not use the platform to facilitate fraud, money laundering, or the manufacture of unlawful items.

8. Availability

We aim to keep ToolpathCloud available and working, but we do not promise uninterrupted service. Maintenance, third-party outages and faults will happen. Except as set out in clause 9, the platform is provided on an “as is” basis.

9. Australian Consumer Law

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies those guarantees, or any other right or remedy you have that cannot lawfully be excluded.

Where our liability can lawfully be limited, and to the extent permitted by law, our liability for a failure to comply with a consumer guarantee in respect of services is limited to resupplying the services or paying the cost of having them resupplied.

10. Liability

Subject to clause 9: we are not liable for indirect or consequential loss, for lost profits or lost business, or for loss arising from a shop’s pricing configuration, a shop’s workmanship, or the fulfilment of any order. Our total liability to a shop for any claim is limited to the platform fees we collected from that shop in the twelve months before the claim.

11. Termination

Shops may close their account at any time. Outstanding orders should be fulfilled or refunded first. Fees already collected on completed orders are not refundable on account closure.

12. Changes

We may update these terms. Material changes will be notified to shop account holders by email or in the dashboard before taking effect. Continuing to use the service after that means you accept the updated terms.

13. Governing law

These terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of that state and the Commonwealth of Australia.
